General Software Agreement & Developer Liability Insulation
IMPORTANT LEGAL NOTICE
This legally binding document governs the deployment, access, database usage, and general operational handling of all technical software tools, applications, database connections, and portal integrations (collectively, the "Software" or "Platforms") designed, developed, configured, or supplied by the Developer/Provider (referred to herein as the "Developer/Builder").These Terms apply universally and without exception to all technology systems and software tools created, deployed, or supplied by the Developer/Builder, including but not limited to SchoolPro Academy, PharmaDesk, and any past, current, or future database integrations, modules, or client portal tools. By accessing, logging in, setting up, or continuing to run the Software, you (the "Client" or "Licensee") accept these terms in full.
The Client explicitly acknowledges that the Developer/Builder functions solely as a technology builder and technical supplier. The Developer is NOT an administrator, manager, director, or supervisorof the Client's educational, commercial, financial, or pharmaceutical operations. The Developer does not inspect, monitor, or manage the data entered by the Client.
The Client remains the sole owner and absolute custodian of all data (including student, parent, patient, inventory, drug records, transactional records, and invoice lists) processed through the Software.
To the maximum extent permitted by applicable law, the Developer/Builder of this Software shall NOT BE LIABLE under any legal theory (contract, tort, negligence, or otherwise) for any direct, indirect, special, incidental, consequential, exemplary, or punitive damages.
This comprehensive liability exclusion covers:
THE SOFTWARE IS PROVIDED ON AN "AS IS", "WITH ALL FAULTS", AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR GUARANTEES OF ANY KIND.
The Client agrees to fully defend, indemnify, and hold harmless the Developer/Builder against any and all claims, liabilities, lawsuits, damages, losses, costs, or expenses (including reasonable attorney fees and legal charges) arising from or relating to the Client's use, deployment, misuse, configuration, or operational management of the Software, or any violation of third-party rights.
